Lack of contract standardization driving legal and operational risks
Sonatype was using a decentralized contracting model for their contract needs, introducing legal risks and operational inefficiencies. The model lacked governance, and different teams approached contract creation and negotiation in varied ways, increasing exposure to compliance issues.
The lack of uniformity was compounded by reliance on manual drafting, review, and approval of workflows. Legal teams were burdened with repetitive, low-value tasks, slowing turnaround times, and limiting their ability to focus on higher-impact work.
Manual processes also made it difficult to track contract status across the lifecycle, impacting visibility into progress, bottlenecks, and prioritization of critical reviews. These challenges were further intensified by disconnected CRM, CLM, and eSignature systems, leading to data inconsistencies, version-control issues, and increased compliance exposure.
Without a defined integration architecture, Legal, Sales, and Operations relied heavily on manual handoffs between systems and stakeholders. As contract volumes grew alongside Sonatype’s business, these inefficiencies became increasingly difficult to manage. The team recognized the need for an effective contract management solution and partnered with Spaulding Ridge for its implementation
SOLUTION:
Establishing a unified and scalable contract management framework
Sonatype’s goal was to build a foundation for a standardized, enterprise-grade contracting architecture. We began by creating structured workflows and sales templates by leveraging Ironclad to centralize contracting processes and establish consistent data flows across the ecosystem.
A key priority was to create a single source of truth. We achieved this by integrating Ironclad with Salesforce and eSignature platforms, enabling seamless information exchange across systems. By grounding the solution in clearly defined business requirements and user stories, we ensured that Legal-approved processes governed every stage of the contract lifecycle, creating a trusted and auditable system of record.
To give Legal visibility into front-line sales processes, we connected contracting directly to Salesforce. This ensured alignment with Legal guidelines, eliminated data silos, and reduced reliance on manual handoffs between teams. With automated workflow triggers, record synchronization, and guided integrations, contract generation started with accurate, consistent data and followed standardized approval paths.
At the same time, workflow automation enabled policy-driven quoting and dynamic document generation. Contract templates were configured with conditional logic and structured inputs, allowing the sales team to self-serve within predefined legal guardrails while ensuring every output remained compliant and contract-ready. This approach extended to dynamic order forms, where product-specific rules automatically applied the correct legal terms, pricing structures, and clauses, minimizing variability and enforcing consistency at scale.
RESULTS:
Centralized contracting with integrated workflows
By implementing a governed, integrated Ironclad, Sonatype transformed contracting into a streamlined, scalable, and risk-aware function. Legal gained end-to-end visibility and control, while Sales and Operations operated within clearly defined, automated guardrails. Key outcomes were:
- Increased visibility across the contract lifecycle enabled Legal to proactively manage risk, prioritize reviews, and eliminate bottlenecks.
- Data silos and manual handoffs were eliminated, improving data accuracy, version control, and overall auditability.
